FINRA fines Percent Securities for alleged rule violations
Percent Securities, LLC has agreed to pay a fine of $60,000 as a part of a settlement with the Financial Industry Regulatory Authority (FINRA).
From October 2023 through August 2025, Percent Securities acted as placement agent in 372 private placement offerings of unregistered securities. The securities were issued by companies owned and controlled by the firm’s parent company. Each offering constituted a “member private offering” under FINRA Rule 5122(a)(1) because each issuer qualified as a “control entity” under FINRA Rule 5122(a)(2), being under common control with Percent Securities.
Percent Securities failed to timely file offering documents with FINRA’s Corporate Financing Department for any of the 372 offerings. Instead, the firm filed the offering documents with FINRA between at least three and 164 days after first providing them to prospective investors. On average, the firm filed the required documents at least 15 days late.
Therefore, Percent Securities violated FINRA Rules 5122 and 2010.
The firm has agreed to a censure in addition to the $60,000 fine.
Percent Securities has been a FINRA member since August 2023. It has one branch office located in New York, New York and 23 registered representatives. The firm earns revenues primarily from acting as placement agent in private placement offerings.
