TP ICAP launches Savings-Related Share Option Plan
Interdealer broker TP ICAP Group plc today announces that it has launched a Savings-Related Share Option Plan (the “2021 SRSO Plan”) for all eligible employees.
Eligible employees were invited to subscribe for options (“Options”) over the Company’s ordinary shares of 25 pence each (“Ordinary Shares”) which have been granted at an exercise price of £1.9294 per Ordinary Share in accordance with the terms of the 2021 SRSO Plan. The Options were issued on 23 April 2021 and will normally be exercisable from 1 June 2024 for six months.
TP ICAP says that 1,091 employees have elected to participate in the 2021 SRSO Plan and as a result Options over a total of 7,059,105 Ordinary Shares have been granted in respect of the 2021 SRSO Plan, representing 0.895% of the Company’s issued share capital.
The following Persons Discharging Managerial Responsibilities (“PDMRs”) have chosen to participate in the 2021 SRSO Plan:
Nicolas Breteau was appointed Group CEO on 10 July 2018.
During his career Mr Breteau he has held senior managerial roles at MATIF (later part of Euronext) and, prior to joining TP ICAP, served as Chief Executive of Newedge Group. Before his current appointment, Nicolas was CEO of TP ICAP’s largest business, Global Broking. He has also held directorship roles in Europe, Asia and the Americas at the Futures and Options Association (UK), Futures Industry Association (USA), Citic/Newedge (China) and Altura (Spain).
Robin Stewart was appointed Chief Financial Officer of TP ICAP on 10 July 2018.
Mr Stewart started his career at Arthur Andersen, before spending 13 years at Dresdner Kleinwort where he became deputy head of tax. He originally joined the Group in 2003 as Head of Tax and subsequent roles included Head of Group Finance and Tax, and Deputy CFO and Financial Controller at Tullett Prebon plc.
Philip Price, Group General Counsel, was appointed to the Board of TP ICAP in September 2018. He has significant experience in senior legal and regulatory roles in the corporate and financial services sectors in London, Europe and Hong Kong.
Mr Price qualified as a solicitor at CMS and prior to TP ICAP has held senior legal, compliance and operational roles in hedge funds, private equity, and investment banking including 10 years as Managing Director at UBS AG. He joined the Group as Group General Counsel and Global Head of Compliance in 2015.
