LSEG to issue 24.6m shares to BCP York Holdings
London Stock Exchange Group plc (LSEG) today confirms that, following the completion of its all-share acquisition of Refinitiv, the company will issue 24,615,845 voting ordinary shares to BCP York Holdings (Delaware) L.P. on March 1, 2021. This is in accordance with the prospectus published on December 9, 2020.
LSEG also confirms that the admission of the Deferred Issue Shares to the premium segment of the Official List and to trading on London Stock Exchange’s Main Market is expected to take place at 8:00am, 1 March 2021.
Subject to the admission, LSEG confirms that its share capital shall consist of a total of 555,813,060 ordinary shares made up of: (i) 488,457,534 voting ordinary shares of 6 79/86 pence each, which carry one vote each; and (ii) 67,355,526 limited-voting ordinary shares of 6 79/86 pence each, which carry one-tenth of a vote each.
BCP York Holdings (Delaware) L.P. (ConsortiumCo) is a company owned by the Blackstone Consortium. The issue of the Deferred Issue Shares to ConsortiumCo is in connection with the settlement of certain existing payment-in-kind shares in Refinitiv Holdings’ capital structure.
