Interdealer broker TP ICAP today confirms its re-registration as a private limited company. The company has changed its name to TP ICAP Limited with effect from March 8, 2021.

On February 26, 2021, the scheme of arrangement between TP ICAP Limited, formerly TP ICAP plc, incorporated under the laws of England and Wales with company no. 05807599 and its shareholders, pursuant to which TP ICAP Group plc (incorporated in Jersey, with registered number 130617) was introduced as the new ultimate holding company for the group (the Scheme), became effective.

Following the Scheme becoming effective, the company has been re-registered as a private limited company and changed its name to TP ICAP Limited.

Let’s recall the plans for this reorganization were first unveiled in December 2019. Pursuant to the plans, a new ultimate holding company was introduced for the TP ICAP group. The new ultimate holding company, TP ICAP Group plc, is a company registered in Jersey.

The changes are expected to create a more capital efficient corporate structure that is set to provide greater financial flexibility.
