Pauline van der Meer Mohr, Irene Lee to retire from HSBC Board
HSBC Holdings plc (LON:HSBA) announces that Pauline van der Meer Mohr and Irene Lee will retire from the Board at the conclusion of the Company’s Annual General Meeting to be held on Friday, 29 April 2022.
Pauline van der Meer Mohr was appointed to the Board on 1 September 2015. Ms van der Meer Mohr is Chair of the Supervisory Board of EY Netherlands LLP, a member of the Supervisory Board of ASM International NV and an independent non-executive director of Viatris, Inc.
She serves as Chair of the Dutch Corporate Governance Code Monitoring Committee, member of the Selection and Nomination Committee of the Supreme Court of the Netherlands and Member of the Capital Markets Committee of the AFM (the Dutch Authority for Financial Markets).
Her former appointments include: President of Erasmus University Rotterdam, member of the Dutch Banking Code Monitoring Committee, Senior Vice President and Head of Group Human Resources at ABN AMRO Bank N.V., Group Human Resources Director at TNT N.V. and various executive roles at the Royal Dutch/Shell Group. From 2009 to 2018 she served on the Supervisory Board of ASML Holding N.V. and from 2018 to 2021 she served as Deputy Chair of the Supervisory Board of Royal SAM N.V.
She has extensive legal, corporate governance and Human Resources experience across a number of different sectors.
Ms van der Meer Mohr holds an LLM degree from Erasmus University Rotterdam and an honours degree in advanced dispute resolution from the University of Amsterdam.
Irene Lee was appointed to the Board on 1 July 2015. She has more than 40 years of experience in the finance industry.
She has held senior positions in investment banking and fund management in the UK, USA and Australia with the Commonwealth Bank of Australia, SealCorp Holdings Limited and Citibank.
Ms Lee is currently a non-executive Director of two of the Group’s subsidiaries,The Hongkong and Shanghai Banking Corporation Limited and Hang Seng Bank Limited. Irene Lee is Executive Chairman of Hysan Development Company Limited and is also a member of Exchange Fund Advisory Committee of Hong Kong Monetary Authority.
Ms Lee served as a member of the Advisory Council of JP Morgan Australia from 2005-2013 and has previously held non-executive Director roles for companies including QBE Insurance Group Limited, Keybridge Capital Limited, ING Bank (Australia) Limited, Noble Group Limited, CLP Holdings Limited and Cathay Pacific Airways Limited.
She has also served as a member of the Australian Takeovers Panel and on the boards of government organisations including the Art Gallery of New South Wales and the Sydney Symphony Orchestra.
Irene Lee will remain on the boards of the Company’s subsidiaries, as an independent non-executive director of The Hongkong and Shanghai Banking Corporation Limited and independent non-executive chair of Hang Seng Bank Limited.
For the purposes of section 430(2B) of the Companies Act 2006, each Director will receive their pro rata entitlement to non-executive Director fees for the month of April 2022 and are not entitled to any payments for loss of office.
